In order to access certain features of the Services, you may need to create a Zipp Trip         Account. By creating an account, you agree to provide accurate, current, and complete         information during the registration process and to keep your account information updated.         You are responsible for maintaining the confidentiality of your account credentials and for         all activities that occur under your account. Zipp Trip shall not be liable for any loss or         damage arising from unauthorized access to or use of your account.

Zipp Trip reserves the right to modify or update these Terms at any time, in our sole         discretion. We will provide notice of any material changes through the Services or by other         means. Your continued use of the Services following the posting of revised Terms constitutes         your acceptance of such changes.

Hosts and users agree to keep all paid content and revenue share details confidential. Hosts         shall not disclose or share any revenue share amounts or transactional details with other         users or third parties. Users shall not share or distribute any paid content outside of the         Zipp Trip platform. Unauthorized disclosure or sharing of revenue share details or paid         content may result in termination of the host's account, legal consequences, and the removal         of the user's access to the Services.

By using the Services, you consent to the collection, use, and processing of your personal         information in accordance with our Privacy Policy. You have the right to withdraw your         consent at any time by contacting us or adjusting your account settings, but please note         that withdrawal of consent may impact your ability to access certain features of the         Services.

Zipp Trip implements reasonable security measures to protect the confidentiality, integrity,         and availability of user data. However, no data transmission or storage system can be         guaranteed to be 100% secure. You acknowledge that the security of your data transmitted         through the Services cannot be guaranteed, and you provide such data at your own risk.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services         shall be resolved through binding arbitration in accordance with the rules of the         arbitration tribunal agreed upon by the parties. The arbitration shall be conducted in the         United Kingdom, and the language of the arbitration shall be in English. The arbitrator's         award shall be final and binding, and judgment upon the award may be entered in any court of         competent jurisdiction.

By accessing or using the Services, you represent and warrant that you are at least 18 years         old and have the legal capacity to enter into a binding contract. If you are accessing or         using the Services on behalf of a company or other legal entity, you further represent and         warrant that you have the authority to bind that entity to these Terms.

These Terms, together with our Privacy Policy and any other agreements or terms referenced         herein, constitute the entire agreement between you and Zipp Trip regarding the subject         matter hereof and supersede all prior or contemporaneous understandings and agreements,         whether written or oral.

These Terms and your use of the Services shall be governed by and construed in accordance         with the laws of the jurisdiction where Zipp Trip is located. Any legal action or proceeding         arising out of or relating to these Terms or the Services shall be exclusively brought in         the appropriate court located in that jurisdiction.

Welcome to Zipp Trip! These Terms constitute a legally binding agreement between you ("User"         or "You") and Zipp Trip. By accessing or using the Services, you acknowledge that you have         read, understood, and agree to be bound by these Terms, including any additional terms and         conditions incorporated by reference.

Zipp Trip respects intellectual property rights. Hosts and users are prohibited from         infringing on the intellectual property rights of Zipp Trip, other hosts, or any other third         parties. Hosts shall retain all rights to their original content, subject to the necessary         licenses granted to Zipp Trip for the provision of the Services. Users must not reproduce,         modify, distribute, or create derivative works based on the paid content without the         explicit permission of the content owner.

The Services and their entire contents, features, and functionality (including but not         limited to all information, software, text, displays, images, video, and audio, and the         design, selection, and arrangement thereof) are owned by Zipp Trip or its licensors and are         protected by intellectual property laws. You are granted a limited, revocable,         non-transferable, and non-exclusive license to access and use the Services for personal,         non-commercial purposes. You must not reproduce, modify, distribute, or create derivative         works based on the Services without explicit permission from Zipp Trip.

To the fullest extent permitted by applicable law, Zipp Trip, its affiliates, and their         respective directors, officers, employees, agents, partners, and licensors shall not be         liable to you or any third party for any indirect, incidental, consequential, special, or         exemplary damages arising out of or in connection with the use of the Services. This         limitation of liability applies regardless of the legal theory on which the claim is based,         including contract, tort (including negligence), strict liability, or any other basis. To         the fullest extent permitted by applicable law, Zipp Trip, its affiliates, and their         respective directors, officers, employees, agents, partners, and licensors shall not be         liable to you or any third party for any indirect, incidental, consequential, special, or         exemplary damages arising out of or in connection with the use of the Services. This         includes, but is not limited to, any damages resulting from accidents, injuries, or losses         that occur during a trip booked through the Services. Zipp Trip shall not be responsible for         any damages, whether direct or indirect, that result from the actions or omissions of the         hosts, other users, or any third parties involved in the provision of the travel services.         By using the Services, you acknowledge and agree that Zipp Trip is not responsible for any         accidents, injuries, damages, or losses that may occur during your trip. You understand and         accept that the hosts are solely responsible for the provision of the travel services, and         any claims or disputes arising from the travel services should be directed to the respective         host. Zipp Trip acts as an intermediary platform and does not assume any liability for the         acts or omissions of the hosts or any third parties.

Zipp Trip does not claim ownership of any content you post on the Services. However, by         posting content, you grant Zipp Trip a worldwide, non-exclusive, royalty-free,         sublicensable, and transferable license to use, reproduce, distribute, prepare derivative         works of, display, and perform the content in connection with the Services. You represent         and warrant that you have the necessary rights and permissions to grant such license to Zipp         Trip.

Zipp Trip will handle the collection of payments from users who purchase Itineraries. Once         the purchase is confirmed and completed, Zipp Trip will process the revenue share payout to         the host according to the agreed-upon terms. The payout will be made within a reasonable         timeframe after the completion of the purchase, subject to any applicable transaction fees         or deductions.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and         disclose information from our users. By using the Services, you consent to the collection,         use, and disclosure of your personal information as described in our Privacy Policy.

Zipp Trip offers personalized travel itineraries ("Itineraries") created by hosts for         purchase through the Services. When you purchase an Itinerary, you are entering into a         contract with the host, and Zipp Trip acts solely as an intermediary platform facilitating         the transaction. You acknowledge and agree that Zipp Trip is not a party to any agreement         between you and the host regarding the Itinerary.

Zipp Trip does not provide refunds for purchased Itineraries.

You agree to use the Services responsibly and in compliance with these Terms, all applicable         laws, regulations, and third-party rights. You must not use the Services to engage in any         fraudulent, abusive, or unlawful activities. Prohibited activities include, but are not         limited to, spamming, harassment, hate speech, and engaging in illegal or harmful behavior.         You are solely responsible for any content you post or share on the Services and for any         consequences arising from such content. Zipp Trip reserves the right to remove or disable         any content that violates these Terms or is otherwise objectionable.

Zipp Trip operates on a revenue-sharing model with hosts. As a host, you agree that Zipp         Trip will retain a percentage of the total purchase price for each Itinerary sold through         the Services. The specific revenue share percentage will be outlined in the separate         agreement between Zipp Trip and the host.

If any provision of these Terms is held to be unenforceable or invalid, such provision shall         be modified or eliminated to the minimum extent necessary, and the remaining provisions of         these Terms shall remain in full force and effect. The failure of Zipp Trip to enforce any         right or provision of these Terms shall not be deemed a waiver of such right or provision.

We may, in our sole discretion, suspend, disable, or terminate your access to all or any         part of the Services at any time and for any reason, without liability or prior notice. Upon         termination, the rights and licenses granted to you in these Terms will immediately cease.

Effective Date: 7/1/2023 These Terms of Service ("Terms") govern the access to and use of         the Zipp Trip website, applications, and services (collectively, the "Services") provided by         Zipp Trip Limited ("Zipp Trip"). By accessing or using the Services, you acknowledge that         you have read, understood, and agree to be bound by these Terms, including any additional         terms and conditions incorporated by reference.
